Terms of Service

The terms that govern our client engagements, intellectual property, payment terms, and our mutual responsibilities.

1. Acceptance of Terms

By accessing or using any services provided by Spakcomm Solutions Private Limited (trading as Tanvora), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, clients, and others who access or use our services.

2. Services

Tanvora provides technology services including mobile application development, web development, cloud infrastructure, DevOps engineering, ecommerce development, and digital marketing. The specific scope, deliverables, timeline, and pricing for each engagement are set out in a separate Statement of Work (SOW) or Service Agreement signed by both parties.

3. Client Responsibilities

Clients are responsible for providing accurate project requirements and timely feedback on deliverables; ensuring they have all necessary rights to any materials, data, or intellectual property provided to Tanvora; maintaining the confidentiality of account credentials; and paying invoices in accordance with agreed payment terms.

4. Intellectual Property

Upon receipt of full payment, clients receive full ownership of all custom code, designs, and deliverables specifically created for their project. Tanvora retains ownership of its pre-existing tools, frameworks, libraries, and methodologies, though clients receive a perpetual licence to use these within the delivered product.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement. We execute a mutual NDA prior to sharing sensitive business information. Our confidentiality obligations survive the termination of any engagement for a period of 5 years.

6. Payment Terms

Payment terms are specified in each project agreement. Standard terms are 50% upfront and 50% upon delivery for fixed-price projects. Invoices for ongoing retainer or time-and-materials engagements are issued monthly with 14-day payment terms. Late payments accrue interest at 1.5% per month.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Tanvora's total liability to you for any claims arising out of or related to our services shall not exceed the total fees paid by you in the 3 months preceding the claim. We are not liable for any indirect, incidental, or consequential damages.

8. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
